1. About us

ReelMart is a proprietorship concern with its registered office at Door No 3-96, Murthimma Nilayam, Ramalayam Street, Bapatla, Andhra Pradesh 522102, India.

In these terms, “ReelMart”, “we”, “us” and “our” refer to this entity. “Platform” means the reelmart.in website, the ReelMart mobile application, and any storefront operated by a Seller using our software.

2. What ReelMart is, and what it is not

ReelMart provides software that enables independent retail businesses (“Sellers”) to operate their own online stores. We additionally provide delivery services to Sellers, arranged through third-party logistics partners.

ReelMart does not sell goods. Every product offered on the Platform is sold by an independent Seller who is the merchant of record for that sale. The contract of sale is formed between the Buyer and the Seller. ReelMart is not a party to it.

3. Eligibility and accounts

You must be at least 18 years of age and legally capable of entering into a binding contract under the Indian Contract Act, 1872.

Buyer accounts are created using a mobile number verified by one-time password. One mobile number corresponds to one account. You are responsible for maintaining the security of the mobile number associated with your account and for all activity conducted through it.

A single Buyer account may be used across all stores on the Platform. Each store maintains a separate session; signing in on one store does not sign you in on another.

Seller accounts require valid GST registration, PAN, and such other verification as we may require. We may approve or decline any Seller application at our discretion, and may suspend or terminate a Seller account for breach of these terms or the Seller Agreement.

4. Seller responsibilities

Sellers are solely responsible for:

the accuracy of product listings, descriptions, images, prices and stock levels
the quality, safety, legality and condition of goods sold
compliance with all applicable laws relating to their goods, including labelling, licensing and consumer protection requirements
issuing GST-compliant invoices under their own GSTIN
setting and honouring their own return, exchange and cancellation policies
responding to Buyer queries and complaints relating to their goods
packing goods adequately for transit

5. ReelMart's responsibilities

We are responsible for:

providing and maintaining the Platform software
arranging delivery services where a Seller books a shipment through us
processing payments through our authorised payment partners
generating invoices for the delivery services we supply

6. Pricing and payment

Prices displayed on a storefront are set by the Seller and are inclusive of delivery unless the Seller states otherwise.

Payments are processed through Razorpay Software Private Limited or such other payment partner as we may appoint. By making a payment you agree to the payment partner's own terms.

Payments for orders are currently received into ReelMart's account and settled to the Seller thereafter.

7. Prohibited use

You may not:

use the Platform for any unlawful purpose
list or purchase goods prohibited under Indian law
attempt to gain unauthorised access to any part of the Platform or to another user's account
interfere with, disrupt or place unreasonable load on the Platform
scrape, copy or reproduce Platform content without written permission
impersonate any person or misrepresent your affiliation

8. Intellectual property

The ReelMart name, logo (Trade Mark No. 7713670), software and all Platform content other than Seller content are owned by us. Seller content — including product images, descriptions and store branding — remains the property of the relevant Seller.

9. Limitation of liability

To the fullest extent permitted by law, ReelMart shall not be liable for any indirect, incidental, special or consequential loss, or for loss of profit, revenue, data or goodwill.

ReelMart's total aggregate liability arising out of or in connection with the Platform shall not exceed the amount paid by you in the twelve months preceding the claim. Nothing in these terms limits any right or remedy available to a consumer under the Consumer Protection Act, 2019, which cannot be excluded by agreement.

10. Indemnity

Sellers agree to indemnify ReelMart against any claim, loss, liability or expense arising from goods they sell, from their breach of these terms, or from their infringement of any third-party right.

11. Suspension and termination

We may suspend or terminate access to the Platform where a user breaches these terms, where required by law, or where we reasonably suspect fraudulent or unlawful activity. This applies to every account, including any account holding a promotional or lifetime plan entitlement.

12. Changes to these terms

We may amend these terms. Material changes will be notified through the Platform or by message to your registered contact details. Continued use after notification constitutes acceptance.

13. Governing law and disputes

These terms are governed by the laws of India. Subject to any right a consumer has to approach a consumer forum in their own jurisdiction, the courts at Bapatla, Andhra Pradesh shall have jurisdiction.
